- Yes. You can invest through an entity or trust, provided that the entity itself meets the SEC’s definition of an accredited investor. Generally, an entity qualifies as accredited if it meets one of the following criteria:
- The entity has total assets exceeding $5 million and was not formed solely to invest in the offering.
- All of the equity owners of the entity are accredited investors.
- The entity is a trust with total assets exceeding $5 million, and its investment is directed by a sophisticated person as defined by SEC Rule 506(b)(2)(ii).
